MEMORANDUM OPINION

DAVIDSON, District Judge.

This cause is presently before the court on the defendant/counter-plaintiff s motion for summary judgment as to plaintiffs’ claim and for partial summary judgment as to the counterclaim. Having reviewed the parties’ briefs, the motion papers on file, and being otherwise fully advised in this matter, the court finds that the defendant’s motion for summary judgment and for partial summary judgment should both be sustained.
