MEMORANDUM OPINION AND ORDER

BACKGROUND
Plaintiff Federal Savings and Loan Insurance Corporation (FSLIC) brings this action in its capacity as conservator for Westwood Savings and Loan Association (Westwood), a state-chartered institution insured by FSLIC. FSLIC has alleged that Westwood’s former directors, various former officers, and other individuals are liable for breach of fiduciary duty, fraud, and conspiracy.
