Appeal from, Polk District Court, Hon. Charles S. Bradshaw, Judge. Action in equity to enjoin-the sale and transfer of the business and property of the Des Moines Life Insurance Company. Application for issuance of preliminary -injunction denied, and plaintiff appeals. The material facts are stated in the opinion.

The Des Moines Life Isurance Company is an Iowa corporation organized for the transaction of the business indicated by its title. Prior to October, 1907, it had been doing business as a mutual concern, but on the day named it was reorganized into a stock company, and adopted articles of incorporation appropriate to effectuate the change. Its capital stock was fixed at $100,000, divided into one thousand shares of the par value of $100 each. Of these shares Charles E. Rawson and Louise C.
