MEMORANDUM OPINION

THIS MATTER comes before the Court pursuant to the Trustee’s Motion for Order Directing Disgorgement of Attorney Fees Paid to Debtor’s Former Counsel (the “Motion”) filed by Patrick J. Malloy III (“Trustee” or “Malloy”) on November 4, 1998, and Attorney Harlton’s Response to the Motion (the “Response”) filed by Bruce Harlton (“Harlton”), on December 15, 1998.
