I. INTRODUCTION
Sekisui America Corporation (“SAC”) and Sekisui Medical Co., Ltd. (“SMD”) (collectively, “Sekisui”) bring this action for breach of contract against Richard Hart and Marie Louise Trudel-Hart (the “Harts”).1 Sekisui alleges that the Harts *362breached representations and warranties set forth in Sections 4.12, 4.14(a), 4.14(c), and 4.14(d) of the parties’ Stock Purchase Agreement (“SPA”).
