I. BACKGROUND

The parties are familiar with the facts of this case, and, thus, we will provide but a brief summary of those facts at the outset, incorporating additional facts only as necessary to our discussion of the issues.

Metropolitan Life Insurance Company (“MetLife”) carried the life insurance policies for William F. Kubichek (“decedent”) as part of its group life insurance plan (“the plan”) for the decedent’s employer, General Motors Corporation (“GM”).
