This is an action for declaratory judgment of the rights and liabilities of the parties to a contract and several assignments and lease agreements. The action was originally commenced in the Circuit Court of Dickson, Tennessee and was subsequently removed on February 27, 1984 by the defendant National Convenience Stores (hereinafter NCS).
