ROGER D. FOLEY, District Judge.

This is an action for breach of contract and fraud. The plaintiff Stearns’ Properties (Stearns), is a California limited partnership whose general partner, Phillip Stearns, is also a resident of California. The defendants-counter-claimants are Trans-World Holding Corporation (Trans-World), a Nevada corporation, and William Butters, a resident of Nevada. The amount in controversy exceeds $10,000. Therefore, this Court has jurisdiction by virtue of diversity of citizenship among the parties. Title 28, U.S.C., § 1332. Venue in this Court is also proper. Title 28,…
