HEANEY, Circuit Judge.
This diversity action arises out of the termination by Western Auto Supply Company (hereafter Western) of its longstanding business relationship with the Eagle Division of United Industrial Syndicate, Inc. (hereafter UIS). UIS alleges that Western’s termination was actionable on contract, fraud and other grounds. The district court granted Western’s motion for summary judgment. We reverse the entry of summary judgment on the contract and fraud counts and remand the case for further proceedings, 527 F.Supp. 869.
