Plaintiff Gibbs Wire and Steel Company (“the Company”) brought this action in state court against Robert B. Johnson and Robert C. Johnson, II (“Defendants”) for breach of contract for failing to sell their stock to the Company pursuant to a “right of first refusal” provision in the Company’s by-laws. Defendants removed this case to federal court pursuant to 28 U.S.C. § 1441 on the basis of complete diversity between the parties.
