Bulldog New York LLC (“Bulldog”), a Delaware limited liability company with its principal place of business in Connecticut, filed a nine-count First Amended Complaint against defendants Pepsico, Inc. (“Pepsico”) and Pepsi-Cola Advertising and Marketing, Inc. (“PCAM”) (collectively, “Pepsi”). Count 1 alleges breach of contract based on a May 18, 2007 letter of intent between Bulldog and PCAM.
