WOODS, Circuit Judge.

The plaintiff, Goree, receiver of Home Oil Refining Company, recovered a judgment against General American Tank Car Corporation for $121,004.70 in this action for breach of contract. The material facts are not in dispute. On April 4, 1919, the Tank Corporation and Home Oil Refining Company made an agreement in writing for four-year lease of 400 tank cars by the Tank Corporation to the Oil Company at a rental of $50 a month *34for each car, payable on the 1st day of each month in advance.
