OPINION AND ORDER

NORGLE, District Judge:

Before the court is the motion of defendant Safeco Life Insurance Company (“Safeco”) to dismiss the complaint pursuant to Federal Rule of Civil Procedure 12(b)(6). For the following reasons, the motion is granted with prejudice.

FACTS 1

Plaintiff Skyview Film & Video, Inc. (“Sky-view”) is an Illinois corporation with its principal place of business in Illinois. Jerome Hummel (“Hummel”) was an employee and an officer of Skyview. Safeco is a Washington corporation engaged in the insurance business with its principal place of business in Washington.
