HENDERSON, Justice.

ACTION

This appeal is taken from a complicated Judgment and Decree of Specific Performance which enforces a contract to sell real estate. We affirm in part, reverse in part, *523and remand for entry of judgment consistent with our ruling herein. See Conclusion, infra.

PARTIES

Appellants-defendants are Emma D. Richards (Richards), and R-J Development Corporation (R-J Development). Richards is the president, major stockholder, and a member of the Board of Directors of R-J Development.
