MEMORANDUM OPINION AND FINAL ORDER
JACKSON, District Judge.
This matter is before the Court on Defendants’ motion for summary judgment. Plaintiff instituted this action against Defendants by complaint filed on August 15, 1997 alleging a violation of section 10(b) of the Securities Exchange Act of 1934, breach of contract, common law fraud, and promissory estoppel/equitable estoppel. 1 Count I, violation of section 10(b) of the Securities Exchange Act of 1934, was dismissed with prejudice on March 27, 1998 by order of the Court and agreement of the parties.
