Defendant, S.B. Thomas, Inc. (Thomas) is a New Jersey corporate manufacturer of baked goods. Plaintiff, Harris Baking Company (Harris) is a Maine-based manufacturer and distributor of baked goods. From about June 30, 1981, to December 31, 1982, Harris acted as the sole distributor in Maine of Thomas baking products.
