MEMORANDUM
SURRICK, District Judge.
Presently before the Court is Defendants’ Amended Motion to Dismiss Plaintiffs Amended Complaint. (ECF No. 6.) For the following reasons, Defendants’ Amended Motion will be granted in part and denied in part.
I. BACKGROUND
Defendant Encore Healthcare, a Maryland corporation, provides healthcare services to nursing homes, assisted-living fa*736cilities, and hospitals.
