This litigation is between two former business partners. A short summary of the undisputed facts will aid in an understanding of the issues.

Both parties in 1946 were men of extensive experience in the timber and sawmill business. On March 12, 1946, they entered into a partnership arrangement for the ownership and operation of a sawmill and the purchase of timber and sale of lumber at Waynesboro, Mississippi, under the name of Kennedy Lumber Company.
