OPINION OF THE COURT
McKEE, Circuit Judge.
Spectacor Management Group (“Specta-cor’’) initiated this diversity action as a result of a disagreement with a former senior level executive over severance pay and benefits. The defendant counterclaimed, alleging that Spectacor had breached an oral contract with him and owed him money as a result. Fol*121lowing a bench trial, the district court entered judgment for the defendant but in an amount that was substantially less than the amount of his counterclaim. The defendant appeals.
