This is an action for legal malpractice in connection with misrepresentations in a registration statement filed with the Securities and Exchange Commission (SEC), and related statements. The plaintiff company contends that the defendant law firm’s conduct *425caused the SEC to suspend trading in the company’s stock, and that the suspension caused a drop in the company’s share price.
