GIBSON, Chief Judge.
These consolidated actions involve a dispute over the use and operation of a barge fleeting site located in the Mississippi River near St. Louis. Universal Towing Company (Universal) instituted one suit in the Missouri state courts to have its written contract with United Barge Company (United) declared void. Universal brought the other case, also in the state court, to recover for fleeting services it provided for United.
