MEMORANDUM OPINION

ROBINSON, District Judge

I. INTRODUCTION

On January 13, 2014, plaintiff Weyer-haeuser Company (‘Weyerhaeuser”) filed a complaint against defendants Domtar Corporation and Domtar Paper Company) LLC (collectively, “Domtar”) alleging breach of contract with respect to liability for workers compensation claims. (D.I. 1) On February 21, 2014, Domtar filed a motion to dismiss for failure to state a claim pursuant to Federal Rule of Civil Proce*448dure 12(b)(6). (D.I. 12) The court has jurisdiction pursuant to 28 U.S.C. § 1332.
