Petitioners, former directors of the Bush Terminal Company, brought these special proceedings under sec*760tion 61-a of the General Corporation Law to recover expenses and counsel fees. They had successfully defended an action brought against them by a trustee on behalf of the corporation in which it was charged that they had wrongfully declared dividends out of capital.
