This is an action brought by the plaintiffs, Gregory J. Lawrence (“Lawrence”) and Hal D. Pugach (“Pugach”) (collectively, the “Plaintiffs”), against ■ defendants, Xerox Corporation (“Xerox”), Xerox Corporation Employee Stock Ownership Plan (the “Xerox ESOP”), Crum & Foster, Inc. (“C & F”), Crum & Foster Holdings, Inc. (“C & F Holdings”), Talegent Holdings, Inc. (“Talegent”), Fairfax Financial Holdings Ltd. (“Fairfax”) and Patricia M.
