WOLCOTT, Chief Justice:

This is an appeal from the denial by the State Bank Commissioner to the Wilmington Savings Fund Society (WSFS) of a certificate of authority to open a branch office in Millsboro, Delaware. Summary judgment was denied to WSFS.

WSFS was created by a special act of the General Assembly in 1832. 8 Laws Ch. 10L Its charter has been amended from time to time by a two-thirds vote of the Legislature as required by Art. IX, § 1 of the Delaware Constitution, Del.C.Ann. In 1929 its charter was amended to provide that WSFS “ * * * may establish such branch offices at such places as…
