MEMORANDUM OPINION AND ORDER
BLACKBURN, District Judge.
This case came before me for trial to the court from July 23 through August 2, 2012, on the claims of plaintiff, United States Securities and Exchange Commission (SEC), for misrepresentation pursuant to section 17(a)(2) of the Securities Act of 19331 and SEC Rule 10b-5(b)2 promulgated under section 10(b)3 of the Securities Exchange Act of 1934, as well as scheme liability pursuant to sections 17(a)(1) and (3) of the Securities Act4 and SEC Rules 10b-5(a) and (c) as set forth in the SEC’s First Amended Complaint [# 36]5 filed July 5, 2011,…
