OPINION 1

I. INTRODUCTION

This case is before the Court on the Application of the Debtors for an Order Pursuant to Section 327(a) of the Bankruptcy Code for Authorization to Employ Ernst & Young, LLP (“E & Y”) Nunc Pro Tunc to June 1, 1999, as Financial Advis-ors. The Application was Supplemented twice to incorporate changes to the terms of the engagement. The Office of the United States Trustee (“UST”) objected to the Application. For the reasons stated below, we overrule the objection and ap prove the Application, as supplemented and modified herein.
