MEMORANDUM OPINION
BULLOCK, District Judge.
Plaintiffs in this securities fraud case allege, individually, in Counts 1, 2, and 3 of the complaint, violations of Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b) (1988), and 17 C.P.R. § 240.-10b-5 (Rule 10b-5) (1990), the North Carolina Securities Act, N.C.Gen.Stat. § 78A-56(i) (1990), and common law fraud by Defendant, Joseph E.
