The facts and circumstances antecedent to the date of the instrument declared on may be summarized as follows: In the winter of 1875-76 meetings had been held at Lawrence, in Van Buren county, at which a project was canvassed to obtain aid in the construction of a railroad from Toledo to South Haven, passing through Lawton, Paw Paw and Lawrence, to be called the Toledo & South Haven Railroad.
