MEMORANDUM AND ORDER ON MOTION TO DISMISS
ROBSON, District Judge.
The defendants have moved to dismiss. For the reasons set forth below, this court is of the opinion that the motion should be denied.
This is a stockholders’ derivative action, brought by the plaintiffs as the “liquidating trustees” of Nispan Corporation, a Panamanian corporation, against the Icarian Development Corporation, also a Panamanian corporation, and certain other defendants, citizens of the United States.
