MEMORANDUM OPINION AND ORDER

SANDERS, District Judge.

This ease is before the Court on Plaintiffs’ Application for a Preliminary Injunction, filed July 31, 1984. A hearing was held on the Application September 26,1984, with counsel for both sides presenting evidence.

This matter concerns a search by a team of Internal Revenue Service agents of the premises of Plaintiff Worldwide Capital Management Corporation, a tax shelter planning consultant, on May 8, 1984, and the seizure of a large quantity of documents.
