I. INTRODUCTION
Pending before the Court is Defendants Primero Mining Corp. (“Primero”), Joseph Conway, Ernest Mast, David Blaiklock, and Wendy Kaufman1 (collectively, “Defendants”) Motion to Dismiss. (See Dkt. No. 74 (hereinafter, “Mot.”).)
