This is an action for securities fraud arising out of the October 1994 initial public offering of shares in defendant The Solomon-Page Group, Ltd. (“SPG”), a Delaware corporation with its principal place of business in New York. Richard Geiger, a purchaser of SPG stock, asserts claims against SPG, its underwriter, Stratton Oakmont, Inc. (“Strat-ton”), and six individuals, (the “Individual Defendants”), who were directors of SPG and signatories to the registration statement filed with the Securities Exchange Commission, (“SEC”).
