*304¶1 — A 2006 amendment to the statutory framework for limited liability companies providing a three-year survival period within which to commence actions against a dissolved limited liability company (LLC) applies retroactively and permits actions against an LLC even when that company’s certificate of formation has been cancelled. The amendment only applies to actions against the company and not to actions brought by a company. Thus, FHC, a dissolved and cancelled LLC, lacks standing to prosecute a claim for its own benefit.1
