Reversing.

Appellant, Sea, and appellee, Holt, with, two other men formed a partnership under the firm name of A. L. Holt & Company, for the purpose of engaging in the purchase and sale of tobacco for profit, each furnishing a part of the net profit in returns. After conducting the business for some time Holt and Sea got into a controversy concerning the proceeds of the business and were about to have a lawsuit.
