KING, United States Magistrate Judge.

This is a diversity action, 28 U.S.C. § 1332, for breach of contract, breach of implied covenant of good faith and fair dealing, and declaratory judgment arising out of the alleged refusal by defendant to pay to plaintiff amounts allegedly due and owing under certain reinsurance agreements with respect to asbestos losses paid or expected to be paid by plaintiff pursuant to primary liability insurance policies issued by plaintiff to Owens-Corning Fiberglas [“OCF”].
