This appeal arises from an order of the Circuit Court for Baltimore City dismissing various claims filed by Albert F. Oliveira and Lena M. Oliveira, Trustees for the Oliveira Family Trust, appellants (“the Shareholders”), for failure to state a claim. Nominal Defendant-Appellee iStar Financial Inc. 1 (“iStar”) is a registered Maryland corporation headquartered in New York.
