I. INTRODUCTION

After defendants conducted the public auction of a debtor’s assets, plaintiff SECA Leasing Limited Partnership (“SECA”) charged defendants with breach of contract, negligence, breach of the fiduciary duty of an escrowee, breach of the fiduciary duty of a trustee, breach of a resulting trust, conversion, and intentional misrepresentation.
