MEMORANDUM AND ORDER
LOUIS L. STANTON, District Judge.
The issues raised by defendants’ motion to 'dismiss the complaint are disposed of as follows, bearing in mind that on such a motion the court “must accept as true all of the factual allegations set out in plaintiffs complaint, draw inferences from those allegations in the light most favorable to plaintiff, and construe the complaint liberally,” Rescuecom Corp. v.
