MEMORANDUM OPINION 1

I. INTRODUCTION

Before the Court is the Motion of HQ Global Holdings, Inc. and its related entities (collectively “the Debtors”) to reject certain License Agreements (collectively “the Agreements”) with certain Franchisees. 2 The Franchisees’ Committee and the Individual Franchisees oppose the Motion asserting that the Agreements are not executory contracts under section 365 of the Bankruptcy Code.
