RIPPLE, Circuit Judge.

INEOS Polymers Incorporated (“IN-EOS Polymers”) brought this action against BASF Catalysts and BASF Ak-tiengesellsch (“BASF AG”) for breach of contract and tortious interference with contractual rights. The district court dismissed the complaint with prejudice, and INEOS Polymers appealed. For the reasons set forth in this opinion, we now reverse the judgment of the district court and remand for further proceedings.
