BACKGROUND

This case stems from a soured real estate transaction. On January 9, 2001, Michael Fuchs Development (Hawaii) LLC (collectively with Michael Fuchs, “Plaintiffs”) entered into a Purchase and Sale Agreement (“Agreement”) for the purchase of approximately 100 acres of vacant land within the Mauna Lani Resort (the “Property”) by Plaintiffs from Tokyu Corporation (“Defendant” or “Tokyu”).
