MEMORANDUM OPINION AND ORDER
KANE, Senior District Judge.
This is a lender liability case between a Texas lender and the guarantor of a loan to a Colorado corporation engaged in real estate development. The lender, the First Texas Service Corporation (First Texas), commenced this action against Jay C. Rou-lier, the guarantor, for judgment on Roulier’s guaranty of a loan by First Texas to the Terrace Place Corporation (Terrace Place). Roulier filed an answer alleging several affirmative defenses.
