CARMAN, Chief Judge.

Appellant NorAm Energy Corporation (NorAm) appeals from the district court’s determination that NorAm abused its discretion in denying Appellee Brenda Fleteher-Merrit long-term disability (LTD) benefits. NorAm argues the district court improperly applied an abuse of discretion standard by substituting its opinion for that of the plan administrator. NorAm also appeals from the district court’s award of attorney’s fees and expenses to appellee. For the reasons stated below, we reverse and remand for action not inconsistent with this opinion.
