NEUMAN, Justice.

This is an appeal and cross-appeal from the district court’s attempt to equitably resolve a family quarrel over control of a closely held corporation. The corporation, defendant Madison Holding Company, was owned and controlled by two brothers, Elmer Lange and Jean Lange. Upon Elmer’s death, Jean — the sole surviving director — took action to wrest control of the corporation from Elmer’s widow (and executor) and daughters, plaintiffs Beth Lange, Mary Beth Williams, and Martha Jean Lange. This litigation ensued.
