MEMORANDUM OPINION

PRENTICE H. MARSHALL, District Judge.

Plaintiff General Electric Credit Corporation is a citizen of New York and Connecticut. It filed this lawsuit in federal court under 28 U.S.C. § 1332 (1976). 1 In counts I and III of its complaint, plaintiff seeks to foreclose on mortgages it holds on certain property in which defendants have an interest.
