Complainants, stockholders in Ditto, Incorporated, a corporation, filed their hill against the corporation and certain of its officers and directors, alleging that the corporation, without authority, had unlawfully paid to the individual defendants sums of money in the form of bonuses. The bill prayed for an accounting and recovery of the amounts unlawfully paid. The cause was referred to a master, who heard evidence and filed a report finding that bonuses had been “illegally and improperly made” to defendants G. H. Abbott, J. M. Cheney and K. M.
