WORKMAN, Justice:
This case arises out of the formal delinquency proceeding filed in the Circuit Court of Kanawha County by the Insurance Commissioner of the State of West Virginia (hereinafter “Appellee” or “Receiver”) against Blue Cross/Blue Shield of West Virginia, Inc. (hereinafter “BCBS”). By order of Liquidation and Injunction (hereinafter “Liquidation Order”) entered October 26, 1990, the circuit court found that BCBS was insolvent as of December 31, 1989, by almost thirty-three million dollars and had continued to incur operating losses of millions of dollars during 1990.
