This case is here on cross appeals.
The Merchants’ Exchange of St. Louis is a corporation organized under act of March 4, 1863, amended by act of February 2, 1865, and February 12, 1875, whereby was incorporated a theretofore existing voluntary association. The corporation thus created had no capital Stock and about three thousand *148members. The preamble of defendant’s original articles of association is as follows:
