MEMORANDUM OPINION AND ORDER

KRAM, District Judge.

Plaintiff, the Securities and Exchange Commission (“SEC”), has applied to this Court for a preliminary injunction enjoining the defendants from violating the securities laws. Specifically, the SEC alleges that the defendants, the American Board of Trade, Inc. (“ABT”), the American Board of Trade Service Corp. (“Service”), Arthur N. Economou (“Economou”), and Phyllis H.
